ShippingRates — Terms of Service

1. Acceptance of Terms

By accessing or using any ShippingRates service — including the API, the Dashboard, or the MCP Server — you ("User", "you") agree to be bound by these Terms of Service ("Terms"). If you are acting on behalf of an organization, you represent that you have authority to bind that organization.

Each x402 payment transaction constitutes your acceptance of these Terms at the time of that transaction.

If you do not agree to these Terms, do not use any ShippingRates service.

The ShippingRates Dashboard offers the following subscription tiers:

Billing. Subscriptions are billed monthly through Razorpay. By subscribing, you authorize recurring charges to your selected payment method.

Auto-Renewal. Subscriptions renew automatically each billing cycle. You may cancel at any time through your Dashboard account settings. Cancellation takes effect at the end of the current billing period.

No Partial Refunds. Refunds are not provided for partial months of service. If you cancel mid-cycle, you retain access until the end of that billing period.

4. API Payment Terms (x402)

4.1 Payment Protocol

All paid API endpoints use the x402 HTTP Payment Protocol. Payment is required per-request in USDC stablecoin on either:

Per-call pricing is published at /.well-known/x402.json and ranges from $0.01 to $0.25 USDC depending on the endpoint. The Company reserves the right to adjust pricing with 7 days' notice posted to the discovery endpoint.

4.3 No Charge on Empty Results

If a paid request returns no data (HTTP 404), the payment is not settled. You are not charged for queries that produce no results.

4.4 Payments Are Final

All x402 payments are final and non-refundable. Blockchain transactions are irreversible by nature. Transaction hashes on Base or Solana serve as receipts.

4.5 Payment Settlement

Payment verification and settlement are handled by the PayAI facilitator service. The Company is not responsible for delays or failures in the facilitator infrastructure.

5. Data Accuracy and Disclaimer

5.1 Data Sources

Data is sourced from official carrier tariff publications, including PDF and XLSX documents published by shipping lines. "Verified" means the data has been parsed and validated from these official carrier documents.

5.2 Not Real-Time Data

ShippingRates data is not real-time. Data is refreshed on a weekly or biweekly schedule. Tariffs and rates may have changed since the last refresh.

5.3 Not a Substitute for Carrier Quotes

API responses are informational only. They do not constitute freight quotes, binding rate offers, or commercial commitments. Users should obtain direct quotes from carriers or freight forwarders before making commercial decisions.

5.4 No Responsibility for Decisions

ShippingRates is not responsible for any business decisions, financial losses, or operational outcomes based on data obtained through our services. Data may contain errors originating from source documents.

7. Intellectual Property

7.1 Company Ownership

All data compilations, software, APIs, designs, documentation, and the "ShippingRates" name and trademarks are the property of ShippingRates. The selection, coordination, and arrangement of data within the ShippingRates database constitutes a copyrighted compilation.

7.2 Limited License

Users may use data returned by ShippingRates services for their own internal business purposes. No redistribution, resale, or publication of ShippingRates data is permitted without prior written consent.

7.3 Feedback

Any suggestions, ideas, or feedback you provide about our services may be used by the Company without obligation or compensation.

8. Privacy

8.1 Dashboard Data

The Dashboard collects: email address, name, and company name for the purpose of account management and billing.

8.2 API Data

The API collects: wallet addresses and query patterns for the purpose of billing, analytics, and abuse prevention.

8.3 No Sale of Personal Data

ShippingRates does not sell personal data to third parties.

8.4 Cookies

The Dashboard uses cookies for session management and authentication. By using the Dashboard, you consent to the use of cookies.

9. Limitation of Liability

9.1 Service Provided "As Is"

ALL SHIPPINGRATES SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.

9.2 No Warranty of Completeness

The Company does not warrant that data is accurate, complete, or timely, or that the services will be uninterrupted or error-free.

9.3 Cap on Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY'S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM YOUR USE OF ANY SHIPPINGRATES SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO THE COMPANY IN THE 12 MONTHS PRECEDING THE CLAIM.

9.4 Exclusion of Consequential Damages

IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES.

10. Termination

10.1 Termination by Either Party

Either party may terminate the relationship at any time. You may stop using our services or cancel your subscription. The Company may suspend or terminate your access for violation of these Terms.

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Mumbai, India.

12. Changes to Terms

The Company reserves the right to update these Terms at any time. Continued use of any ShippingRates service after changes are posted constitutes your acceptance of the revised Terms.

Material changes will be communicated via email to registered Dashboard users or through a notice on the Dashboard. API users should periodically review the Terms at the /terms endpoint.
